By accessing or using Wooli’s website or services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

Wooli reserves the right to refuse access to the Service to anyone, for any reason, at any time, and to modify, suspend, or discontinue any part of the Service without notice.

Wooli provides AI-powered business solutions and services, which may include but are not limited to:

• Waitlist registration

  Join our waitlist to be notified when services become available.

• Website information

  Access information about Wooli’s products, technology, and service offerings.

• Communication services

  Receive email updates, announcements, and marketing communications (with consent).

• Alpha access (pre-release)

  At our discretion, limited pre-release access for testing and feedback, subject to Alpha Access Terms.

Wooli may modify, expand, or discontinue parts of the Service at any time. No guarantee is made regarding uptime, feature availability, or compatibility with any device or browser. All information provided through the Service is for general informational purposes only and may change without notice.

When using our Service, you agree to:

• Provide accurate information

  Submit truthful, complete, and up-to-date information when joining our waitlist or otherwise engaging with the Service.

• Respect intellectual property

  Do not copy, reproduce, distribute, publicly display, or modify any content, code, or trademarks from Wooli without prior written consent.

Wooli reserves the right to suspend or terminate access for any violation of these obligations or for behavior deemed detrimental to the Service.

By joining our waitlist, you acknowledge and agree to the following:

• No guarantee of access

  Joining the waitlist does not guarantee participation in any release, program, or service.

• Communication consent

  You consent to receive email updates, product announcements, and related communications. You may unsubscribe at any time using the provided opt-out link.

• Information accuracy

  You are responsible for ensuring the accuracy of the information you provide. Wooli is not responsible for missed communications due to inaccurate data.

• No expectation of performance

  Waitlist participation does not create a service contract or guarantee of product delivery.

• Data handling

  Information you submit will be processed and stored in accordance with our Privacy Policy and applicable U.S. data protection laws.

If you are granted access to an Alpha version of Wooli or any related pre-release services, you acknowledge and agree to the following:

• Limited Access and Availability

  Alpha access is provided solely at our discretion and may be revoked, suspended, or modified without notice.

• Experimental Nature

  The Alpha is pre-release software for testing and feedback only and may contain bugs or issues. Use is at your own risk.

• Confidentiality

  Unless expressly authorized, all materials and communications related to the Alpha are confidential. Do not share, disclose, or publish any information without written consent.

• Feedback

  Any feedback you provide may be used by Wooli without compensation. You grant Wooli a perpetual, royalty-free, worldwide license to use, modify, and commercialize such feedback.

• No Warranty or Support

  Alpha access is provided “as is” with no warranty or guarantee of functionality, security, or technical support.

• Data and Account Handling

  We may delete, reset, or modify Alpha user data or accounts at any time. We are not responsible for data loss during Alpha testing.

The Service and all original content, features, and functionality (including software, text, graphics, logos, and designs) are and will remain the exclusive property of Wooli and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws globally.

You may not use Wooli’s name, logo, trademarks, or trade dress without express written permission. Unauthorized use may result in legal action, including injunctive relief and recovery of damages and legal fees.

To the fullest extent permitted by applicable law, Wooli and its affiliates, employees, partners, and suppliers shall not be liable for any indirect, incidental, consequential, special, or punitive damages — including but not limited to loss of profits, data, goodwill, or use — arising from or relating to your use or inability to use the Service.

Wooli’s total liability for all claims related to the Service shall not exceed the greater of (a) USD $100 or (b) the amount you paid to Wooli, if any, in the twelve months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations of liability, so portions of this section may not apply to you. Your statutory rights remain unaffected.

The Service is provided “as is” and “as available”, without any express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

• The Service will function uninterrupted or error-free.
• Defects or errors will be corrected.
• The Service will meet your specific expectations or requirements.

Your use of the Service is at your own discretion and risk.

You agree to defend, indemnify, and hold harmless Wooli, its affiliates, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorneys’ fees) arising from:

• Your use or misuse of the Service.
• Your violation of these Terms.
• Your infringement of any third-party rights.

Wooli may update or replace these Terms at any time without prior notice. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Lee County, Florida, USA.
